These Website Terms of Use apply to your use of www.copernicus-consulting.com and any pages, content, downloads, forms, or services made available through that website (the Website).

1. Acceptance and scope

1.1 By accessing or using the Website, you agree to these Website Terms of Use. If you do not agree, you must not use the Website.

1.2 The Website provides general professional information for business users. It also offers free accounts and paid membership of the Trade Guide Library, which are available to businesses and to individuals buying as consumers. No content on the Website constitutes an offer to supply consultancy services.

1.3 A consultancy engagement with Copernicus is governed by separately agreed written consultancy terms, proposal, statement of work, or other written agreement. These Website Terms of Use do not create a client-consultant relationship.

1.4 Other terms may apply to you, depending on what you do on the Website. They sit alongside these Website Terms of Use:

1.5 Where these Website Terms of Use conflict with the Trade Guide Library Membership Terms in relation to a membership, the Membership Terms prevail. Where they conflict with the Consultancy Terms of Business in relation to a consultancy engagement, the Consultancy Terms prevail.

2. Website information and no reliance

2.1 The Website may contain information about international trade, export development, market entry, research, strategy, lead generation, business development, sectors, countries, regulations, services, events, or other commercial topics. It is provided for general information only.

2.2 Website content may not be complete, current, accurate, or suitable for your specific circumstances. Markets, laws, regulations, tariffs, sanctions, export controls, trade conditions, prices, and business conditions can change quickly.

2.3 You must not rely on Website content as legal, tax, accounting, financial, investment, insurance, customs, sanctions, export-control, immigration, regulatory, certification, product-safety, employment, or other specialist advice. Obtain independent professional advice and carry out your own due diligence before acting or making a commercial decision.

2.4 Copernicus does not guarantee any commercial result, including market access, sales, orders, contracts, investment, funding, lead conversion, approvals, licences, export performance, or third-party performance.

2.5 Clauses 2.1 to 2.4 apply equally to the guides, market summaries and Regulatory Radar bulletins made available through the Trade Guide Library.

3. Use of the Website

3.1 You may use the Website only for lawful purposes and in accordance with these Website Terms of Use.

3.2 You must not:

• use the Website in a way that breaches applicable law or regulation;
• introduce viruses, malware, harmful code, or other technologically harmful material;
• attempt to gain unauthorised access to the Website, its server, accounts, systems, or data;
• interfere with, disrupt, overload, damage, or impair the Website or another user’s use of it;
• use robots, spiders, crawlers, scrapers, harvesting tools, automated scripts, data-mining tools, or other automated means to access, monitor, copy, index, extract, download, or collect Website content, contact details, data, or metadata without Copernicus’s prior written permission;
• use Website materials, data, contact details, or content to build, train, test, improve, or operate an artificial-intelligence system, machine-learning model, database, search index, or competing service without Copernicus’s prior written permission;
• reproduce, distribute, commercially exploit, republish, frame, mirror, adapt, or create derivative works from Website content except as expressly permitted by law or with Copernicus’s written permission;
• share account login details, or allow anyone else to use an account issued to you; or
• use the Website to send unsolicited marketing, spam, phishing communications, or other unauthorised communications.

3.3 We may suspend, restrict, or terminate your access to the Website where we reasonably believe you have breached these Website Terms of Use or where necessary to protect the Website, Copernicus, users, or third parties.

4. Intellectual property

4.1 Copernicus and its licensors own or control all intellectual-property rights in the Website and its content, including text, reports, articles, graphics, logos, trade marks, designs, photographs, video, downloads, databases, compilations, methodologies, and software.

4.2 You may view, print, and download a reasonable number of copies of Website pages for your own internal, non-commercial business reference, provided that you keep all copyright, trade-mark, and other proprietary notices intact.

4.3 Except as permitted in clause 4.2 or by applicable law, you must not use any Website content without Copernicus’s prior written consent. You must not use Copernicus’s name, logos, trade marks, or branding without our prior written permission.

4.4 If you print, copy, download, share, or otherwise use Website content in breach of these Website Terms of Use, your right to use the Website will end immediately and you must, at our option, return or destroy copies of the materials.

4.5 Guides, market summaries and bulletins obtained through the Trade Guide Library are licensed under the Membership Terms, not under clause 4.2.

5. Enquiries, downloads and communications

5.1 If you submit an enquiry, request information, download a resource, or provide information through the Website, you confirm that the information you provide is accurate and that you have authority to provide it.

5.2 We may respond to enquiries and provide resources at our discretion. Submission of an enquiry or receipt of a resource does not oblige Copernicus to provide services, enter into a contract, or accept an assignment.

5.3 Our use of personal data is explained in our Privacy Policy. Cookie and similar-technology use is explained in our Cookie Policy.

5.4 Creating a Trade Guide Library account, and buying a membership, are governed by the Membership Terms. Clause 5.2 does not apply to a membership you have paid for.

6. Third-party websites and material

6.1 The Website may include links to websites, services, reports, platforms, or resources operated by third parties. Links are provided for convenience only.

6.2 Copernicus does not control, endorse, approve, verify, or accept responsibility for third-party websites or materials. Your use of them is governed by their own terms and policies.

7. Availability and security

7.1 We do not guarantee that the Website, its content, downloads, or any functionality will always be available, uninterrupted, secure, or free from errors, defects, or harmful components.

7.2 We may update, change, remove, suspend, or discontinue any part of the Website without notice. We are not liable if the Website is unavailable at any time or for any period.

7.3 You are responsible for making your own arrangements to access the Website and for using appropriate virus-protection and cyber-security measures.

7.4 Clauses 7.1 and 7.2 do not limit what we owe a paying member if the Trade Guide Library is unavailable. That is dealt with in the Membership Terms.

8. Liability

8.1 Nothing in these Website Terms of Use excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

8.2 Subject to clause 8.1, Copernicus excludes all implied conditions, warranties, representations, and other terms that may apply to the Website or its content.

8.3 Subject to clause 8.1, Copernicus will not be liable for any loss or damage arising from or in connection with use of, or inability to use, the Website; reliance on Website content; or use of linked third-party websites or materials. This includes indirect or consequential loss and loss of profit, revenue, business, sales, goodwill, opportunity, data, reputation, anticipated savings, contracts, tenders, market access, or commercial outcomes.

8.4 Subject to clause 8.1, and except where clause 8.5 applies, Copernicus’s total liability to you in connection with your use of the Website will not exceed £100. This limit reflects that the Website is provided free of charge.

8.5 Clauses 8.2 to 8.4 do not apply to Trade Guide Library membership, which is governed by the liability provisions of the Membership Terms. If you are a consumer, nothing in this clause 8 affects your statutory rights.

9. Changes to these terms

9.1 We may update these Website Terms of Use from time to time. The current version will be published on the Website with its effective date.

9.2 Your continued use of the Website after updated terms are published constitutes acceptance of the updated terms.

9.3 Clause 9.2 does not apply to a change affecting a paid membership. Those changes are notified in advance under the Membership Terms.

10. General

10.1 If any provision of these Website Terms of Use is invalid, illegal, or unenforceable, it will be deemed modified to the minimum extent necessary or, if that is not possible, deleted. The remaining provisions continue in force.

10.2 A person who is not a party to these Website Terms of Use has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

10.3 These Website Terms of Use are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute or claim arising from or connected with them.

10.4 If you are a consumer resident elsewhere in the United Kingdom, you may bring proceedings in the courts of the part of the United Kingdom in which you live.

Appendix: Research and International Trade Disclaimer

This disclaimer applies to information made available by Copernicus International Consulting Ltd, company number 06941196, of 1 Worsley Court, High Street, Worsley, Manchester M28 3NJ (Copernicus, we, us or our) through www.copernicus-consulting.com, presentations, reports, guides, proposals, communications, research outputs, and consultancy services, unless a separate written agreement expressly states otherwise.

1. General information only

Information supplied by Copernicus is prepared for general business-information purposes or, where relevant, for the agreed project purpose described in a written proposal or engagement agreement. It must not be treated as a recommendation to take a particular commercial action or as a substitute for your own judgement, verification, due diligence, and specialist advice.

2. Research limitations

Our work may draw on information supplied by clients, publicly available sources, third-party databases, interviews, industry contacts, associates, overseas researchers, partners, and other sources considered appropriate at the time.

While Copernicus uses reasonable skill and care in conducting and presenting its work, we do not guarantee that information, data, forecasts, contacts, market conditions, prices, laws, regulations, tariffs, sanctions positions, export controls, or third-party statements are complete, current, accurate, error-free, independently verified, or suitable for every purpose. Information and conditions may change after publication or delivery.

3. No regulated or specialist advice

Unless expressly agreed in writing and delivered by a suitably qualified and authorised professional, Copernicus does not provide:

• legal, tax, accounting, audit, insurance, financial, investment, or regulated advice;
• customs, tariff-classification, duty, export-control, sanctions, trade-compliance, anti-bribery, anti-money-laundering, immigration, or licensing advice;
• regulatory approval, certification, product-safety, technical compliance, labelling, environmental, health-and-safety, employment, or intellectual-property advice; or
• a guarantee that a product, service, transaction, partner, distributor, customer, supplier, market-entry route, or commercial practice is lawful, compliant, suitable, viable, or risk-free.

You are responsible for obtaining advice from appropriately qualified legal, tax, customs, sanctions, export-control, regulatory, financial, technical, and other specialist advisers before acting.

4. International trade and market-entry risk

International trade and market-entry activities involve commercial, legal, political, financial, logistical, operational, cultural, currency, sanctions, regulatory, and reputational risk. Requirements can vary by country, product, end use, customer, transaction, route, and time.

You remain solely responsible for determining whether to enter a market, appoint a representative, contact a prospect, enter a transaction, export goods, provide services internationally, share information, make a payment, or take any other commercial action. You must conduct your own checks and ensure compliance with all applicable laws and regulations.

5. No guaranteed outcome

Copernicus does not guarantee market access, sales, orders, contracts, lead conversion, introductions, distributor or partner performance, investment, funding, regulatory approval, licence approval, tender success, export success, profitability, revenue, commercial return, or any other outcome.

Any forecasts, market-sizing work, opportunity assessments, cost estimates, timetables, projected returns, lead lists, contact information, or commercial observations are illustrative and subject to assumptions, limitations, change, and uncertainty.

6. Third parties and links

Copernicus may refer to or introduce third parties, including contacts, leads, suppliers, distributors, advisers, researchers, data providers, partners, service providers, websites, or platforms. Such references or introductions do not constitute endorsement, verification, recommendation, warranty, agency, partnership, or guarantee.

You must conduct your own due diligence and decide whether and on what terms to engage with a third party. Copernicus is not responsible for third-party acts, omissions, information, products, services, conduct, solvency, compliance, performance, or outcomes.

7. AI and technology-assisted research

Copernicus may use artificial-intelligence tools, automation, technology-assisted research, and third-party databases as part of its workflow, where appropriate. We apply reasonable professional review appropriate to the scope of work, but technology-assisted outputs can contain omissions, inaccuracies, bias, outdated information, or third-party errors.

You must independently verify material facts, data, sources, calculations, legal or regulatory positions, and commercial assumptions before relying on them or acting upon them.

8. Use and reliance

Reports, guides, presentations, research outputs, and other materials are prepared for the agreed recipient and stated project purpose. They must not be reproduced, published, distributed, relied upon by third parties, or used for another purpose without Copernicus’s prior written consent.

Subject to any agreed written engagement terms, Copernicus accepts no responsibility to persons other than the agreed client or recipient.

9. Liability

Nothing in this disclaimer excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Subject to that, Copernicus excludes liability for reliance on general Website information and for indirect or consequential loss, loss of profit, revenue, business, sales, opportunity, goodwill, data, reputation, contracts, tenders, market access, or commercial outcome arising from use of information covered by this disclaimer.

Where a separate written consultancy agreement applies, its agreed liability provisions will govern the relevant Services and deliverables.

10. Governing law

This disclaimer is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes or claims arising from or in connection with it.
